Acceptance and scope
By accessing Tindorah websites or services, you agree to these terms on your own behalf or on behalf of the organization you represent. Additional order forms, statements of work, or master service agreements may supplement or override parts of these terms.
The services are intended primarily for business use and may evolve over time as features, integrations, and security controls change.
Accounts, access, and security
You must provide accurate registration information, keep credentials confidential, and ensure that only authorized users access your workspace. You are responsible for activity performed under your accounts unless caused by Tindorah.
We may require verification or compliance checks before granting or maintaining access to certain parts of the services.
Acceptable use
You may not use the services to break the law, misrepresent identity, bypass security, overload infrastructure, scrape unauthorized data, distribute malware, or generate abusive, discriminatory, deceptive, or unlawful communications.
You may not probe other tenants, attempt to access non-public data, reverse engineer restricted components except where law permits, or use the services in a way that threatens platform integrity or other customers.
Your responsibilities and compliance
You are responsible for the content you upload, the contacts you target, and the legality of your workflows. This includes compliance with applicable data protection, telecom, consumer protection, employment, and sector-specific rules in the jurisdictions where you operate.
If you process personal data through the services, you must have appropriate notices, permissions, contractual coverage, and internal controls in place before going live.
Service changes, suspension, and termination
We may update, improve, limit, or discontinue features when needed for security, legal compliance, vendor changes, or product development. Where practical, we will communicate material changes in advance.
Tindorah may suspend or terminate access for non-payment, breach, security concerns, legal risk, or misuse. You may stop using the services at any time, subject to your commercial commitments.
Intellectual property and liability
Tindorah retains its rights in the platform, software, branding, documentation, and improvements. You retain rights in your own data and materials, subject to the permissions needed for us to operate the services.
Unless additional contract terms state otherwise, services are provided on a business-to-business basis and subject to applicable law. Nothing in these terms excludes liability that cannot legally be excluded.
Service levels and availability
Availability commitments are set out in the applicable order form rather than promised uniformly here. Where the parties want to state a target — including a guaranteed annual uptime figure — it is recorded there.
Scheduled maintenance carried out under Support and maintenance below is not counted against any availability figure agreed in an order form.
Support and maintenance
Support is provided through the support or commercial channel assigned to your workspace. Coverage hours, response times, and any support tier are set out in the applicable order form.
Tindorah may carry out scheduled maintenance that temporarily limits access to the services; where practical, we give advance notice through the same channel.
Term and renewal
The initial term and any renewal term are set out in the applicable order form or account plan. Unless that order form states otherwise, a subscription renews automatically for a further term of the same length.
Either party may decline to renew by giving notice before the end of the then-current term, in line with Notice and termination below.
Notice and termination periods
The notice period for declining to renew, and for terminating for convenience where the order form permits it, is set out in that order form.
Termination for breach, non-payment, security concerns, or misuse is addressed in Service changes, suspension, and termination above and is not subject to the notice periods described here.
Fees and price changes
Fees are set out in the applicable order form or account plan. Tindorah gives advance notice of a price change, with the notice period stated in that order form, before the change applies to an existing subscription's next renewal.
A price change never applies retroactively to a term already paid for. Failure to pay fees when due may result in suspension or termination under Service changes, suspension, and termination above.
Data return and deletion at contract end
On request before or shortly after the end of the services, Tindorah makes your workspace's data available for export in a structured, commonly used format.
Deletion of your data after that point follows Tindorah's data retention practices. A certified, audit-proof deletion process is not yet in place across the full platform; where you need a documented deletion record for your own compliance obligations, raise this through your support or commercial channel before termination.
Warranty
The services are provided on an "as is" and "as available" basis. Tindorah does not warrant that the services will be uninterrupted or error-free, or fit for a particular purpose beyond what is expressly stated in the applicable order form.
Nothing in this section excludes a warranty that cannot be excluded under applicable law.
Liability caps
Where liability is not otherwise excluded under Intellectual property and liability above, each party's total liability arising from or in connection with the services is capped at the amount stated in the applicable order form.
Neither party is liable for indirect, incidental, or consequential damages, or for loss of profits, revenue, or data, except where such liability cannot be excluded under applicable law.
Governing law and venue
These terms are governed by the law of the Federal Republic of Germany, without regard to its conflict-of-law rules.
Unless the applicable order form states a specific venue, the courts of Germany have jurisdiction over disputes arising from these terms, to the extent permitted by applicable law.
